1. Object

These Terms & Conditions of Sale (CGV) and Terms of Use (GCU) govern the use of the InstaWhey website and services, and the contractual relationship between SR SHOP LIMITED and any individual or entity placing an order or entering into a partnership.

2. Acceptance of Terms

By accessing the website or placing an order, the user confirms having read, understood, and accepted these terms without reservation.

3. Products and Services

InstaWhey offers automated distribution of protein shakes and related accessories (reusable shakers, supplement doses, etc.) available via direct sales or B2B partnerships with gyms and fitness centers.

4. Orders and Pricing

All prices are in EUR by default. GBP and USD are accepted upon request and contractually agreed exchange rates. Orders are subject to availability. SR SHOP LIMITED reserves the right to adjust pricing or cancel orders in case of error or stock unavailability.

5. Delivery & Installation (For Partners)

Machines are delivered and installed by the InstaWhey team within 7–14 working days following contract confirmation. Installation includes setup, initial training, and stocking.

6. Payment Terms

Payments are processed through Stripe. For B2B partners, all sales generated through the machine are collected automatically each month via Stripe. SR SHOP LIMITED retains its commission and transfers the remaining amount to the partner’s designated bank account. The commission structure and payment schedule are defined in the individual partnership agreement. Accepted payment methods for direct sales include credit/debit card and SEPA transfer.

7. Maintenance & Hygiene

SR SHOP LIMITED is responsible for weekly maintenance and monthly deep cleaning of machines, in accordance with hygiene standards. Hygiene protocols include antibacterial disinfection, canister checks, and technical diagnostics. The partner agrees to notify SR SHOP LIMITED immediately in case of any malfunction, damage, or hygiene issue.

8. Partner Responsibilities

The partner agrees to:

  • Provide access to the machine for maintenance.

  • Keep the machine in a safe, clean, and operational environment.

  • Notify SR SHOP LIMITED immediately in case of damage, theft, or misuse.

  • Hold a valid insurance covering damages, fire, theft, or incidents related to the machine within the premises.

  • Display and promote the machine according to the brand guidelines provided.

  • Use the machine exclusively for InstaWhey products unless otherwise agreed in writing.

9. Force Majeure

SR SHOP LIMITED shall not be held liable for delays or non-performance caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, pandemic-related restrictions, or supply chain disruptions.

10. International Installations

For machines installed outside the United Kingdom:

  • Partners are solely responsible for ensuring that all local regulatory, health, tax, import, and safety requirements are met.

  • SR SHOP LIMITED will support installation and logistics remotely or via certified subcontractors.

  • Maintenance visits may be performed by locally trained third-party technicians under SR SHOP LIMITED’s standards.

  • Any legal dispute or non-compliance remains governed by English law, and the courts of London retain exclusive jurisdiction.

  • Partners outside the UK must ensure machines are covered by local insurance policies.

  • Delivery timelines may be extended based on customs clearance or international transport constraints.

10.1 Installations in Europe and the USA

For machines installed in European Union countries or the United States:

  • SR SHOP LIMITED will ensure that all electrical and food hygiene certifications comply with relevant EU or FDA regulations.

  • The partner must ensure local insurance and compliance with labor, tax, and consumer safety laws.

  • Technical support may be available through approved partners or local service providers.

  • Any warranties or service contracts will remain subject to English law.

11. Intellectual Property

All content, visuals, and brand materials on the InstaWhey site are the property of SR SHOP LIMITED. Any unauthorized use is strictly prohibited.

12. Liability

SR SHOP LIMITED cannot be held liable for improper use of the machines, allergen reactions, or third-party service disruptions. The partner is responsible for ensuring customer safety around the installed machine.

13. Privacy Policy

All data collected is handled in accordance with GDPR regulations. Users have the right to access, modify, or delete their personal data at any time. SR SHOP LIMITED ensures data security and limits access to personal information.

14. Use of Cookies

Our website uses cookies to enhance user experience, track analytics, and improve our services. Users can manage cookie preferences through their browser settings. Continued use of the website implies consent to our cookie policy.

15. Termination & Withdrawal

For B2B partners, termination terms are outlined in the individual agreement. For product sales, users have 14 days to withdraw from a purchase (except opened consumables).

16. Governing Law and Language

These terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of London, UK. These terms are primarily written in English. In case of translation into other languages, the English version shall prevail. SR SHOP LIMITED cannot be held responsible for misunderstandings resulting from third-party translation tools.

17. Compliance with Local Laws (Outside UK)

Partners operating outside the United Kingdom are responsible for ensuring full compliance with all local laws, including taxation, employment regulations, public safety, and health codes.

18. Subcontracting

SR SHOP LIMITED reserves the right to assign or subcontract any part of its obligations, including maintenance, logistics, or technical services, to certified third parties.

19. Non-Solicitation

The partner agrees not to solicit or employ any SR SHOP LIMITED staff or subcontractors during the term of the agreement and for 12 months following its termination.

20. Confidentiality

Both parties agree to keep all business-related information strictly confidential during and after the term of the partnership.

21. Digital Security

SR SHOP LIMITED uses standard security measures but cannot be held liable for cyberattacks or security breaches beyond its control.

22. Third-Party Applications & Translations

SR SHOP LIMITED is not responsible for the accuracy or reliability of translated versions via third-party apps. The English version shall always prevail.

23. Obligations of SR SHOP LIMITED

SR SHOP LIMITED commits to:

  • Deliver and install machines professionally.

  • Provide regular maintenance and updates.

  • Ensure proper hygiene protocols.

  • Provide customer support and partner assistance.

24. Additional Provisions

Any point not covered in these terms shall be governed by relevant commercial and consumer law under English jurisdiction. These terms may evolve without prior notice and are accessible at all times on the official website.

25. Data Protection and GDPR

All personal data is processed in accordance with the UK GDPR and Data Protection Act 2018. Users and partners are informed of their rights under these laws, including access, correction, and deletion.

26. Cookie Management

The use of cookies is clearly explained in our Cookie Policy. By continuing to use the site, the user consents to their use.

27. Cybersecurity Obligations

Partners must provide secure internet access to ensure uninterrupted machine operation. Any security breach must be reported immediately.

28. Insurance and Liability

The partner must maintain valid insurance covering fire, theft, and accidental damage. SR SHOP LIMITED declines responsibility for damages not reported promptly.

29. Contractual Safeguard Clause

If one clause becomes void, the remaining terms remain enforceable.

30. Anti-Corruption and Ethics

Both parties agree to comply with anti-corruption laws and commit to ethical business conduct.

31. Environmental Responsibility

Partners agree to dispose of consumables and packaging according to local environmental regulations.

32. Dispute Resolution Mechanism

In the event of a dispute, both parties shall seek an amicable solution before initiating legal proceedings.

33. Retention of Ownership

All machines remain the property of SR SHOP LIMITED until full payment is received and the contract executed.

34. Exclusivity Clause

Partners may not engage in similar services or promote competing products without prior consent.

35. Contract Modification

SR SHOP LIMITED may update these terms at any time. Continued use of the services constitutes acceptance.

36. Entire Agreement

These terms represent the entire agreement between the parties. Any prior communication is superseded.

37. Language Priority

These terms are binding in English. Translations are for convenience only and have no legal value.

38. Use of Automated Tools

If the website or services are used via browser extensions or third-party applications, SR SHOP LIMITED disclaims any liability.

39. Commercial References

The partner authorizes SR SHOP LIMITED to reference the collaboration for marketing or commercial purposes, unless otherwise stated in writing.

40. International Law Compliance

Partners operating in the EU or USA must comply with local food laws, safety standards, and applicable import/export regulations.

41. Archive & Digital Signature

Contracts and agreements may be archived and executed digitally. Electronic signatures are considered legally binding.

42. Legal Notices and Regulatory References

SR SHOP LIMITED complies with UK consumer protection regulations, including but not limited to the Consumer Rights Act 2015 and the Companies Act 2006.

43. Sanctions for Breach of Contract

Any breach of these terms may result in penalties, financial compensation, or termination of the agreement without notice.

44. Limitation of Commercial Liability

SR SHOP LIMITED shall not be liable for any indirect damages, including but not limited to loss of revenue, loss of business opportunity, or data loss resulting from the use or inability to use the services.

45. Right of Audit

SR SHOP LIMITED reserves the right to conduct random or scheduled audits to verify contractual compliance, including branding, hygiene standards, and operational usage.

46. Early Termination Clause

SR SHOP LIMITED reserves the right to terminate the agreement immediately in the event of serious breaches, such as fraud, unauthorized reselling, insurance failure, or reputational harm.

47. Image and Media Rights

Unless explicitly refused in writing, the partner grants SR SHOP LIMITED the right to use photos and videos of the machine for promotional and commercial purposes.

48. Contractual Communication Language

All official contractual communication and dispute correspondence shall be conducted exclusively in English.

49. Currency Clause

Prices and payments are by default in EUR. GBP or USD can be accepted based on agreed exchange rates. In case of conflict, the currency listed in the signed agreement prevails.

50. Non-Disclosure Agreement (NDA)

All parties agree not to disclose confidential or proprietary information to third parties, both during the term of the agreement and for five years following termination.

51. Non-Compete Clause

Partners agree not to engage in or support any business that directly competes with InstaWhey’s services or product range for the duration of the agreement and for one year after its end, within the same geographic territory.

52. Language of Interpretation

The present terms are interpreted and enforced in accordance with the English language. In case of ambiguity in translation, the English version shall govern

SR SHOP LIMITED shall not be held liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, strikes, wars, or government restrictions.

54. Insurance Obligations

The Partner must maintain adequate insurance covering potential damage, theft, or malfunction of the installed machines. Proof of insurance must be provided upon request.

55. Incident Reporting

The Partner agrees to notify SR SHOP LIMITED immediately in case of malfunction, theft, damage, or unusual activity involving the machine.

56. Liability Limitations

SR SHOP LIMITED shall not be held liable for any indirect, incidental, or consequential damages arising from the use or misuse of the machine.

57. Machine Ownership

All machines remain the exclusive property of SR SHOP LIMITED unless otherwise stipulated in a separate signed contract.

58. Branding Rights

The Partner is not authorized to modify, cover, or add branding to the machines without prior written consent from SR SHOP LIMITED.

59. Resale of Branded Goods

Reusable shakers branded with the gym’s logo may be purchased from SR SHOP LIMITED and resold by the Partner at a price they determine.

60. Cleanliness & Odour Control

The machine is designed to remain odour-free. The Partner must ensure minimum hygiene practices and report any persistent smell.

61. Use of Third-Party Applications

SR SHOP LIMITED is not responsible for inaccuracies, translation errors, or functional issues resulting from third-party applications used to access its content or forms.

62. Language Priority

These Terms are written in English. In case of translation into other languages, the English version shall prevail.

63. Jurisdiction & Governing Law

These Terms are governed by English law. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

64. Installation Supervision

Machine installation must be supervised or coordinated with a representative of the Partner to ensure correct integration and positioning.

65. Network & Power Requirements

The Partner is responsible for providing stable internet access and power supply to ensure continuous operation of the machine.

66. Intellectual Property

All content, branding, technical processes, and materials provided by SR SHOP LIMITED are protected by intellectual property rights.

67. Use of Trademarks

Partners may not use SR SHOP LIMITED trademarks, logos, or branding for marketing or communication without written authorization.

68. Partner Training

Training materials or sessions may be provided. The Partner agrees to ensure that designated staff are informed of the basic machine use and troubleshooting procedures.

69. Visual Advertising

The Partner agrees to allow the broadcasting of video or image advertisements on the screen(s) of the machine as agreed in the contract.

70. Sponsorship Opportunities

SR SHOP LIMITED reserves the right to display third-party sponsor content on machines, unless otherwise agreed.

71. Payment Terms

Commission or fees owed by the Partner must be paid in accordance with the invoicing schedule provided by SR SHOP LIMITED.

72. Late Payments

In case of late payment, interest and penalties may apply as outlined in the UK Late Payment of Commercial Debts (Interest) Act 1998.

73. Withdrawal or Relocation

If the machine is to be removed or relocated, the Partner must provide 30 days’ written notice. SR SHOP LIMITED must coordinate the operation.

74. Early Termination Clause

SR SHOP LIMITED reserves the right to terminate the agreement in case of breach, non-payment, misuse of equipment, or reputation risk.

75. Compliance with Local Laws

The Partner agrees to comply with all local laws, safety regulations, and business licenses applicable to their premises.

76. Risk Assumption

The Partner accepts all risk for the machine’s physical location, including theft, vandalism, and environmental damage.

77. Digital Security

Partners agree to maintain security of any login credentials or system access provided by SR SHOP LIMITED.

78. Confidentiality of Data

Any commercial or technical information exchanged shall be kept confidential unless required by law.

79. Periodic Audits

SR SHOP LIMITED reserves the right to conduct regular audits of usage data, hygiene standards, and compliance on-site.

80. Dispute Resolution Process

In case of dispute, both parties agree to attempt resolution through mediation before escalating to legal proceedings.

81. Withdrawal Rights for Consumers

If applicable under local law, individual users may have a withdrawal period for any paid services/products purchased from the machine.

82. Customization Requests

Any request for machine customization (branding, ingredients, pricing) must be approved in writing.

83. Digital Content Policy

SR SHOP LIMITED reserves the right to change the content displayed on the machines without prior notice.

84. Access Restrictions

The Partner must ensure that unauthorized personnel do not access internal machine components.

85. Safety Notices

The Partner agrees to comply with safety signage and machine placement guidelines as advised during installation.

86. Term of Agreement

The initial term of the agreement shall be defined in the signed contract, renewable by mutual agreement.

87. Indemnification

The Partner agrees to indemnify SR SHOP LIMITED against any claims, damages, or losses arising from misuse or negligence.

88. Review and Renewal

These Terms should be reviewed annually, and a renewal agreement may be issued depending on the partnership’s evolution.

89. Currency and Payment

All prices and payments are processed in British Pounds (GBP), unless otherwise agreed in writing. Exchange rate risks and international transfer fees are borne by the partner.

90. Non-Disclosure Agreement (NDA)

The partner agrees not to disclose any confidential or proprietary information to third parties, both during and after the duration of the partnership.

91. Non-Compete Clause

For the duration of the partnership and for a period of 12 months thereafter, the partner agrees not to engage in a competing business or promote any similar automated protein shake machine without written consent.

92. Subcontracting

SR SHOP LIMITED reserves the right to subcontract any part of its obligations without notice, provided the subcontractor meets all compliance and quality standards.

93. Data Protection & GDPR Compliance

Partners operating in the European Union must comply with the CE marking, EU hygiene regulations, and local business and safety laws. Machines installed in EU countries must adhere to European directives.

98. Severability Clause

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

99. Entire Agreement

These Terms represent the complete agreement between the parties and supersede any prior discussions or communications.

100. Amendments

SR SHOP LIMITED reserves the right to update or modify these Terms at any time. Partners will be notified of significant changes via email or website update.

101. Contract Duration and Renewal

The agreement is entered into for an initial period of 12 months. It is automatically renewed for successive 12-month periods unless either party gives written notice of termination at least 30 days before the end of the current term.

102. Termination and Exit Clause

Either party may terminate the agreement for just cause, including but not limited to breach of contract or insolvency. A notice period of 30 days must be observed, unless immediate termination is justified by law.

103. Penalty for Non-Compliance

In the event of failure by the partner to comply with obligations herein, SR SHOP LIMITED reserves the right to claim penalties, damages, or terminate the agreement without compensation.

104. User Responsibility Disclaimer

SR SHOP LIMITED shall not be liable for misuse of the machine or for harm to end-users caused by allergies, improper use, or third-party negligence.

105. Technical Documentation & Appendices

A separate annex, provided upon signature, outlines technical specifications, hygiene protocols, and maintenance requirements. This annex is an integral part of the agreement.

106. Dispute Resolution & Mediation

In case of dispute, both parties agree to first seek resolution through mediation before taking legal action.

107. Data Access and Reporting Rights

SR SHOP LIMITED retains the right to access usage data for operational and analytical purposes.

108. Ethical Conduct and Anti-Corruption

Partners agree to comply with all applicable anti-bribery and anti-corruption laws. Any violation may result in immediate termination of the agreement.

109. Applicable Law and Language

These Terms are governed by and construed in accordance with the laws of England and Wales. The English version shall prevail in case of discrepancies with translated versions. SR SHOP LIMITED is not responsible for misinterpretations resulting from third-party translation tools.

110. Unilateral Modification of Terms

SR SHOP LIMITED reserves the right to amend these Terms and Conditions at any time without prior notice. Continued use of the services after modifications shall constitute acceptance of the updated Terms.

111. Jurisdiction Clause

All disputes arising from these Terms shall fall under the exclusive jurisdiction of the competent courts of England and Wales.

112. Severability

If any clause of these Terms is declared null, illegal, or unenforceable, the remaining clauses shall continue to apply fully.

113. Supremacy of Our Terms

Only the present CGV & GCU issued by SR SHOP LIMITED shall apply. Any general terms of the partner or third parties are expressly excluded and shall not apply under any circumstances
